Nantong Company Registration: Documents, Steps and Practical Timeline

A practical guide for foreign founders on registering a foreign-invested company in Nantong, Jiangsu: required documents, the registration sequence, business scope drafting, registered address options, and the delays that most often slow applications down.

Nantong sits on the north bank of the Yangtze in Jiangsu, connected to Shanghai by the Sutong and Hutong bridges and the Shanghai–Suzhou–Nantong rail corridor. Foreign founders often look at Nantong for manufacturing, shipbuilding supply chains, textiles, chemicals, logistics and cross-border e-commerce support. Registering a foreign-invested enterprise (FIE) here follows China's national framework under the Foreign Investment Law, administered locally through the Nantong Administration for Market Regulation (AMR), with input from commerce authorities, tax, customs and the bank where the capital account is opened.

This article walks through what you need, the order in which things happen, and where applications commonly stall. It is general information, not legal or tax advice. Rules and local practice change, so verify current requirements with a licensed local adviser or the relevant authority before filing.

First, choose the vehicle and check the negative list

Most foreign founders in Nantong use a wholly foreign-owned limited liability company (WFOE). A Sino-foreign equity joint venture is also possible if you need a Chinese partner or a licence that favours joint ownership. Before anything else, confirm your intended activity is not restricted under the national Negative List for Foreign Investment Access. As of recent editions, manufacturing is largely unrestricted, but some service sectors, value-added telecom, education and certain media activities carry ownership caps or prohibitions. Nantong's commerce bureau (商务局) can confirm whether your project needs a foreign investment information report or a specific pre-approval.

Pick a company name in the format Nantong + trade name + industry + company type, for example “Nantong [Name] Precision Machinery Co., Ltd.” Prepare two or three alternatives; names are checked against existing registrations, and generic industry words or well-known brands are often rejected.

Core documents for a Nantong WFOE

Expect to prepare the following. Chinese translations are normally required, and foreign documents often need notarisation and, where applicable, apostille or consular legalisation.

If the legal representative will not be physically present in Nantong for the electronic signature, arrange for notarised or in-person signing procedures in advance; this is a frequent source of delay.

The registration sequence

In practice the workflow runs in this order:

  1. Name pre-approval or self-declaration. Nantong uses the national enterprise name system; many names can be self-declared online, but foreign-invested names may still require manual review.
  2. Prepare and translate the document pack, including notarisation and legalisation of foreign corporate documents.
  3. Submit the establishment application through Jiangsu's enterprise registration platform, uploading the articles, address proof and investor documents.
  4. Obtain the business licence (营业执照) with the unified social credit code.
  5. Carve the company seal set at a licensed seal-making shop: company seal, legal representative seal, finance seal and, if needed, contract and invoice seals. Seals are registered with the public security system.
  6. Open the bank account: first the basic RMB account, then the foreign currency capital account for injecting registered capital. Banks apply know-your-customer checks on the shareholder structure.
  7. Register with the tax authority and complete the new-enterprise reporting package, including the finance officer and tax handler.
  8. Foreign exchange registration for the capital account, usually handled through the bank under the State Administration of Foreign Exchange's delegated process.
  9. Social insurance and housing fund registration if you will hire locally, plus customs registration if you will import or export.
  10. Inject capital per the schedule in the articles and complete the capital contribution confirmation through the bank and the AMR's enterprise credit system.

Business scope: write it deliberately

Business scope (经营范围) is not marketing copy; it is the legal boundary of your activity and determines which licences you need. Use the standard catalogue wording. A trading company might use “sales of machinery and equipment; import and export of goods; technology import and export.” A manufacturer needs production wording plus the corresponding environmental and safety filings. Some items are “pre-licence” (许可项目), meaning you cannot operate them until a separate permit is issued; others are “general items” (一般项目) that need only filing. Over-broad scope invites questions; too-narrow scope means amending the licence later, which costs time.

Registered address: what Nantong accepts

You need a real, documented address. Options include a leased office or factory, a serviced office, or an address provided by an industrial park or incubator that has an agreement with the local AMR. The address proof must normally include the lease, the landlord's ownership certificate, and a stamped confirmation. Avoid purely virtual addresses unless the provider explicitly states the local authority accepts them for foreign-invested registration; many districts do not. If you are in a development zone such as Nantong Economic and Technological Development Area or a county-level park, the zone's investment service team can often supply a compliant address and pre-check your documents.

Realistic timeline and common delays

For a straightforward WFOE in a trading or light manufacturing activity, with clean documents and a compliant address, founders commonly see the business licence within roughly two to four weeks of a complete submission, and the full set of bank, tax and forex steps two to four weeks after that. Timelines vary by district and by how quickly the shareholder documents are legalised.

Practical closing notes

Engage a local registered agent or law firm familiar with the specific Nantong district where you will register, because window practice differs between the development area and county-level administrations. Keep a single authorised contact, prepare certified translations early, and treat the bank account opening as a separate project with its own document list. Done in the right order, Nantong registration is manageable; done out of order, it becomes a cycle of resubmissions.
